Subscriber Certification

The undersigned registered representative of the broker-dealer set forth below hereby certifies that he/she has procured this subscription and that he/she is familiar with Subscriber named above and he/she has determined that Subscriber meets the requirements set forth under the "Who May Invest" section of the PPM. The undersigned registered representative warrants that: (i) he/she has performed a suitability analysis with respect to an investment in the Units by Subscriber in light of Subscriber's needs, investment objectives and financial capabilities and (ii) he/she has apprised Subscriber of the risks of an investment in the Units as set forth in the PPM, and particularly the risks of marketability and illiquidity during the term of the investment. The undersigned registered representative hereby agrees to maintain in his/her files documents disclosing the basis upon which the suitability of this Subscriber was determined. In addition, the undersigned registered representative certifies that he/she is not subject to any of the "Bad Actor" disqualifications described in Rule 506(d)(1)(i) to (viii) under the Securities Act (a "Disqualification Event"), except for a Disqualification Event covered by Rule 506(d)(2). In the event of a Disqualification Event pursuant to Rule 506(d)(2), the undersigned registered representative certifies that he/she has provided the required disclosure to Subscriber.
